Terms of Service

1. The service

Pariom is a metric reconciliation tool. It runs scheduled checks between two sources of a metric you connect (a data warehouse, a database, or values you push us directly), opens a case when they diverge beyond a tolerance you set, and records the human ruling that resolves each case into a versioned ledger of definitions. Pariom also offers a legacy variance-memo tool that generates board-ready financial narratives from trial balance data. The Service is intended for use by finance and operations professionals responsible for the accuracy of business metrics.

The Service is provided "as is." Any AI-generated content — diagnostic briefs on a case, memo narratives, or Q&A responses — is a labeled hypothesis intended to assist a human decision, never a substitute for one. Rulings, verdicts, and final judgment calls are always made and recorded by a named human. You are responsible for verifying the accuracy of all generated content before relying on it.

2. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. Notify us immediately at ask@pariom.ai if you believe your account has been compromised.

One account per person or entity. You may not share your account with others or create accounts on behalf of others without authorization.

3. Acceptable use

You agree not to:

• Use the Service to process data you do not have authorization to access
• Attempt to reverse engineer, scrape, or extract the underlying AI prompts or models
• Use the Service to generate fraudulent or misleading financial documents
• Upload malicious files or attempt to disrupt the Service
• Resell or sublicense access to the Service without our written consent
• Use the Service in violation of any applicable law or regulation

4. Subscription and billing

Pariom is currently offered free of charge during its beta period. No payment method is required and Stripe billing is not yet active. If and when paid plans launch, pricing will be displayed on the pricing page, you will be notified before any charge occurs, and these Terms will be updated accordingly.

We reserve the right to suspend or terminate accounts for violation of these Terms at any time.

5. Your data

You retain ownership of all data you connect to or provide through the Service — including metric values, database or warehouse connection details, case context, and rulings. By using the Service, you grant us a limited license to process that data solely to provide the Service.

Database and warehouse credentials you provide for reconciliation checks are encrypted at rest and used only to run the checks you configure. Raw trial balance data uploaded to the legacy memo tool is processed in memory and never stored; the generated memo output is stored to enable memo history and sharing. You are responsible for ensuring you have the right to connect and process the data you provide — particularly when acting on behalf of clients or a separate legal entity.

6. Automated content

Diagnostic briefs, memo narratives, and Q&A responses are generated by large language models (Anthropic Claude). AI-generated content may contain errors, omissions, or inaccuracies, and is always presented as a labeled hypothesis with a stated confidence level — never as an asserted, unattributed truth. Rulings and verdicts are made only by a named human on your team; the Service does not adjudicate disputes on your behalf.

We do not warrant that generated content is accurate, complete, or suitable for any particular purpose. You assume full responsibility for how you use, share, or act on generated content.

7. Intellectual property

The Pariom software, design, and brand are owned by us. You may not copy, modify, or distribute them without permission.

Generated memos are yours — we claim no ownership over content produced from your data.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

PARIOM IS NOT A LICENSED ACCOUNTING FIRM, FINANCIAL ADVISOR, OR CPA. NOTHING IN THE SERVICE CONSTITUTES FINANCIAL, TAX, OR LEGAL ADVICE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. Indemnification

You agree to indemnify and hold us harmless from claims arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Changes to terms

We may update these Terms. Material changes will be communicated by email with at least 14 days notice. Continued use after the effective date constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
